These Terms of Sale govern the sale of software and services provided by Odooist OÜ. By purchasing the software, you agree to be bound by these terms and the End-User License Agreement (EULA).
2. Pricing and Payment

2.2 Payment Terms: Payment for software and services must be made in accordance with the payment terms specified at the time of purchase.
2.3 Taxes and Fees: You are responsible for any taxes, including VAT or sales taxes, and any other fees associated with the purchase.
3. Subscription Services
3.1 Subscription Term: Subscriptions to our software are for a term as specified at the time of purchase, with automatic renewal unless cancelled in accordance with these terms.
3.2 Renewal: Subscriptions will automatically renew at the end of each subscription period, unless you cancel the subscription prior to the renewal date.
3.3 Cancellation Policy: You may cancel your subscription at any time. Upon cancellation, you will be charged for the usage of the software up to the date of cancellation. This amount must be paid in full. The cancellation will take effect immediately, and you will not be billed for any subsequent subscription periods.
4. Refunds and Credits
4.1 Refund Policy: We do not offer refunds for any purchases. By completing your purchase, you acknowledge that you understand and agree to this no-refund policy.

5.1 Accuracy of Information: You are responsible for ensuring that all information provided to us, including contact and billing information, is accurate and up to date.

9. Free Trial Terms
9.1 Trial Period Offer: We offer a 14-day free trial of our software. This trial period is intended to allow you to evaluate the software before committing to a subscription.
9.2 Cancellation during Trial Period: During this 14-day trial period, you have the option to cancel the subscription at any time. If you cancel within this period, you will incur no charges.
9.3 Transition to Paid Subscription: If you do not cancel the subscription within the 14-day trial period, your trial subscription will automatically convert into a paid subscription. The commencement date of the paid subscription will be the same as the initial start date of the free trial.
9.4 Billing Post-Trial: Upon the transition to a paid subscription, you will be billed according to the subscription terms and payment conditions as outlined in Section 2 (Pricing and Payment) and Section 3 (Subscription Services).
10. Technical Support Services
10.1 Support Service Structure: We provide technical support services to our customers through a structured system of success packs. These packs include a predefined number of support hours tailored to meet various customer needs.
10.2 Success Packs: Our success packs offer dedicated support hours which can be used for services such as onboarding assistance, technical troubleshooting, module development, and other support activities. The specific details of each success pack, including the number of hours and pricing, are available on our website.
10.3 Accounting of Support Hours: We accurately track the hours spent on providing technical support using timesheets. These timesheets are available to customers upon request.
10.4 Notification of Consumed Hours: Once all the hours in a success pack are consumed, we will notify you, and you will have the option to purchase an additional success pack to continue receiving support services.
10.5 Rollover of Unused Hours: Unused hours from a success pack are not refunded but remain available on your account. These hours can be utilized whenever you require technical support in the future.
10.6 Customized Support Requests: For support needs that are not covered by our standard success packs, we offer customized support billed on an hourly basis. The rate for customized support services is detailed on our website.
10.7 Quality of Service: We are committed to providing high-quality support services and have a team of experienced and certified engineers to assist our customers. Our goal is to ensure a smooth and successful experience with our software.
10.8 Contacting Support: Customers can access technical support services by contacting us through the channels provided on our website. Support services are provided during our standard business hours unless otherwise specified in the success pack terms.
